CallZen AI Receptionist: Terms of Service

1. Agreement to Terms

By accessing or using CallZen's AI receptionist services ("Services"), you agree to be bound by these Terms of Service.

2. Service Description

CallZen provides an AI-powered virtual receptionist service for home service businesses, including call answering, scheduling, lead qualification, SMS messaging, and related features.

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your business.

4. Account Registration

You agree to provide accurate information and keep your login credentials secure. You are responsible for all activities under your account.

5. Subscription, Fees, and Payment Terms

  • Services are provided on a subscription basis with fees as outlined in your selected plan.
  • All fees are billed in advance on a monthly/annual basis and are non-refundable except as required by law.
  • Accepted payment methods: Major credit cards, ACH bank transfer.
  • Late payments may result in service suspension. Accounts 30+ days overdue may be terminated.
  • We reserve the right to change fees with 30 days' written notice. Price changes will not affect current subscription period.
  • Subscription automatically renews unless canceled at least 48 hours before the renewal date.

6. Acceptable Use Policy

You agree not to:

  • Use the Services for unlawful, fraudulent, harassing, or abusive purposes.
  • Interfere with or disrupt the Services or servers.
  • Attempt to reverse engineer, modify, copy, or create derivative works of our AI, software, or platform.
  • Use the Services to send spam, unsolicited communications, or violate telemarketing regulations.
  • Process calls or data related to illegal activities, adult content, gambling, or regulated financial services.

7. AI-Specific Disclosures & User Responsibilities

  • AI Nature of Service: You acknowledge that calls are answered by artificial intelligence, not humans. The AI makes decisions based on programmed logic and may not handle every situation perfectly.
  • Caller Disclosure: You agree to disclose to your callers that they are interacting with an AI system, either through our default greeting or your own disclosure.
  • Training Data: You grant CallZen a limited license to use anonymized call data to train and improve our AI models. Personal identifiers are removed before training.
  • AI Limitations: You acknowledge that AI may misinterpret speech, fail to capture information accurately, or make errors in scheduling. You remain responsible for verifying critical appointment details.

8. SMS/Text Messaging Compliance (TCPA/CASL)

  • By using our SMS features, you certify that you have obtained proper consent from message recipients where required by law (TCPA, CASL, etc.).
  • You agree to include opt-out instructions ("Reply STOP to unsubscribe") in all marketing text messages.
  • You maintain sole responsibility for compliance with all applicable messaging regulations.
  • CallZen reserves the right to suspend SMS features if we suspect regulatory violations.

9. Service Level Agreement (SLA) & Support

  • Uptime Guarantee: We guarantee 99.5% monthly uptime for core answering services. If we fall below this, you may request a service credit per our SLA.
  • Scheduled Maintenance: We will provide 24-hour notice for scheduled maintenance that may cause service interruptions.
  • Support Response Times:
    • Priority Support (Enterprise plans): < 2 hours during business hours
    • Standard Support: < 24 hours on business days
  • Exclusions: SLA does not apply to interruptions caused by your equipment, third-party services, or force majeure events.

10. Intellectual Property

All rights, title, and interest in the CallZen platform, AI, software, algorithms, interfaces, and content remain our exclusive property. You receive a limited, non-exclusive, non-transferable license to use the Services as outlined in these Terms.

11. Customer Data Rights & Licenses

  • Ownership: You retain ownership of all data you provide or generate through the Services ("Customer Data").
  • License to CallZen: You grant us a worldwide, royalty-free license to use, store, reproduce, and process Customer Data solely to provide and improve the Services.
  • Data Portability: Upon request, we will provide your data in a structured, commonly used format.
  • Deletion: We will delete your data within 30 days of account termination, except as required by law.

12. Data Processing Addendum (GDPR/CCPA Compliance)

  • For customers subject to GDPR, CCPA, or similar regulations, our Data Processing Addendum (DPA) applies and is incorporated by reference.
  • We act as a "Data Processor" under GDPR when processing personal data on your behalf.
  • We implement appropriate technical and organizational measures to protect personal data.
  • We will notify you of any data breaches affecting your data within 72 hours of discovery.

13. Disclaimer of Warranties

Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law:

  • CallZen's total liability for any claim shall not exceed the amount paid by you in the 6 months preceding the claim.
  • CallZen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities.

15. Indemnification

You agree to indemnify and hold CallZen harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of any laws or third-party rights
  • Your SMS/messaging practices
  • Your failure to obtain proper consents from callers

16. Termination

  • By You: Cancel anytime per your plan terms.
  • By Us: We may suspend or terminate your access immediately for: (a) breach of these Terms, (b) non-payment, (c) unlawful use, or (d) regulatory compliance issues.
  • Effect of Termination: You lose access to the Services and your data will be deleted per Section 11.

17. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.
  • Any disputes shall be resolved through binding arbitration in [Your City, State] under [Arbitration Organization] rules.
  • You waive the right to jury trial or class action.
  • Notwithstanding the above, either party may seek injunctive relief in court for intellectual property violations.

18. Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control, including natural disasters, pandemics, strikes, internet outages, or government restrictions.

19. Changes to Terms

We may modify these Terms at any time. We will provide 30 days' notice via email or in-app notification for material changes. Continued use after changes constitutes acceptance.

21. Entire Agreement
